Commercial License Terms

1. Definitions

  • “Client” refers to the corporate customer placing the order.
  • “Team” refers to the group of individuals participating in the game.
  • “Game” refers to the online team-building murder mystery games provided by Cold Case Inc.
  • “Access Period” refers to the 72-hour period during which the teams can access the game after the completion.

2. Overview

These Commercial License Terms (“Terms”) govern the purchase and use of team-building games provided by Cold Case Inc (“Company”) through our online platform. By placing an order, the corporate client (“Client”) agrees to these Terms.

3. License Grant

Upon successful purchase, the Company grants the Client a non-exclusive, non-transferable license to access and use the selected team-building games for the specified number of teams. This license is subject to the conditions outlined in these Terms.

4. Ordering and Payment

  • Ordering Process: Clients may select the desired team-building game(s) from the list of available games on our website.
  • Team Selection: Clients must specify the number of teams that will participate in the game(s) during the ordering process.
  • Payment: Clients are required to pay a set price per team at the time of order placement. All payments must be made through the Company’s online payment system.

5. Access and Duration

  • Access Rights: Upon payment, each team will receive unique login credentials to access the ordered game(s).
  • Access Period: Teams will have access to the game(s) for a period of up to 72 hours from the completion of the game. After this period, access will be automatically revoked.
  • Reordering: Clients may place additional orders at any time for as many teams as needed. Each new order will be treated as a separate transaction with its own access period.

6. Usage Restrictions

  • The Client shall not sublicense, sell, or otherwise transfer the access rights to any third party.
  • The Client shall not copy, modify, or create derivative works of the game(s).
  • The Client shall ensure that the access credentials are used solely by the designated teams and are not shared with unauthorized individuals.

7. Intellectual Property

All intellectual property rights in the games and the platform are owned by Cold Case Inc. The Client’s use of the games does not grant any ownership rights.

8. Data Privacy and Security

Cold Case Inc is committed to protecting the privacy and security of the data collected during the use of our games. All data handling complies with applicable data protection laws, including GDPR.

9. Warranties and Disclaimers

The Company warrants that the games will function as described. However, the Company does not guarantee that the games will be free from bugs or interruptions. All games are provided “as is” without any additional warranties.

10. Indemnification

The Client agrees to indemnify and hold Cold Case Inc harmless from any claims, damages, or expenses arising out of their use of the games.

11. Force Majeure

The Company shall not be liable for any delays or failures in performance due to events beyond its control, including but not limited to natural disasters, strikes, or technical failures.

12. Termination

  • The Company reserves the right to terminate access to the game(s) if the Client breaches any of these Terms.
  • Upon termination, all access rights granted to the Client and the teams will be revoked immediately.

13. Modification of Terms

The Company reserves the right to modify these Terms at any time. Clients will be notified of any changes via email or through the platform.

14. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings, whether written or oral.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
